These Terms and Conditions (“Terms”) govern your access to and use of the Galafy mobile application, website, and related services (collectively, the “Platform”), operated by Galafy Ltd (“Galafy”, “we”, “us”, or “our”), a company incorporated under the laws of the Federal Republic of Nigeria.
By accessing or using Galafy, you agree to be bound by these Terms.
Definition
“User” means any individual using the Platform.
“Wallet” means a digital wallet provided through Galafy in partnership with Wema Bank Plc.
“Sender” means a User who initiates a gift.
“Recipient” means a User or third party receiving a gift.
“Gift” includes monetary gifts, or digital value.
Eligibility & Account Registration
Users must be at least 18 years old and provide accurate information. Galafy may conduct identity verification in line with applicable Nigerian KYC requirements.
Wallet Services & CBN Regulatory Compliance
Galafy provides wallet-related services through partnerships with service providers and financial institutions licensed and regulated by the Central Bank of Nigeria (CBN). Galafy itself is not a bank.
All customer funds held in wallets are maintained by our verified partners in segregated accounts in accordance with Central Bank of Nigeria regulations. Galafy does not at any time take custody of customer funds.
Wallet balances do not earn interest. Transaction limits, monitoring, and controls apply in line with CBN AML/CFT regulations. Galafy via partners, reserves the right to suspend, restrict, or freeze wallet access where required for regulatory or security reasons.
Gifting Services
Galafy enables Users to send and receive gifts digitally. Once a gift has been successfully delivered or redeemed, it may not be reversed except as required by applicable law or expressly stated in these Terms.
Refunds & Failed Transactions
Where a transaction fails and funds are not successfully delivered to the intended Recipient, such funds shall be reversed to the Sender’s wallet or original payment method within 24–72 business hours, subject to verifications, confirmations and applicable payment processors.
Galafy is not responsible for delays caused by third-party payment providers or circumstances beyond its control. Successfully completed or redeemed gifts are non-refundable except where required by applicable Nigerian law.
Fees, Charges & Taxes
Service or transaction fees may apply and will be disclosed prior to confirmation. Users are responsible for all applicable taxes under Nigerian law.
Prohibited Activities
Users must not use Galafy for unlawful purposes, including fraud, money laundering, terrorism financing, or the gifting of proceeds derived from illegal activities.
App Store Compliance (Apple & Google Play)
These Terms are between you and Galafy only, not Apple Inc. or Google LLC. Apple and Google are not responsible for the Platform, its content, or any claims arising from its use.
Apple and Google are third-party beneficiaries of these Terms and may enforce them against you.
Apple has no obligation to provide maintenance or support services for the Galafy app. Any claims relating to the app shall be addressed solely by Galafy.
Galafy does not process payments through Apple In-App Purchases. All payments are processed via licensed Nigerian financial institutions.
Regulatory Compliance
Galafy operates in compliance with Nigerian laws, including the Companies and Allied Matters Act (CAMA), Nigeria Data Protection Act (NDPA), and applicable Central Bank of Nigeria (CBN) regulations where relevant.
Transaction Monitoring & Reporting
Galafy reserve the right to monitor transactions and file Suspicious Transaction Reports (STRs) and Currency Transaction Reports (CTRs) with relevant Nigerian authorities when and/or where required.
Data Protection & Privacy
Galafy processes personal data in accordance with the Nigeria Data Protection Act (NDPA). By using the Platform, you consent to the collection, use, and processing of your data as described in our Privacy Policy.
Limitation of Liability
To the maximum extent permitted by Nigerian law, Galafy shall not be liable for indirect, incidental, or consequential damages arising from the use of the Platform or gifting services.
Indemnity
You agree to indemnify and hold harmless Galafy, its directors, officers, and employees from any claims, losses, or damages arising out of your misuse of the Platform or violation of these Terms.
Suspension & Termination
Galafy reserves the right to suspend or terminate your access to the Platform at its discretion, including for breach of these Terms or regulatory requirements.
Dispute Resolution
Users may lodge complaints via Galafy’s in-app support or designated support channels. Where unresolved within five (5) business days, complaints may be escalated in line with applicable CBN consumer protection guidelines.
Amendments
Galafy may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the revised Terms.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. All disputes shall be subject to the exclusive jurisdiction of Nigerian courts.
